1. Acceptance of Terms
By accessing or using the website dalcottcapital.com (the “Site”) and related services, including the applicant portal (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Services.
2. About Dalcott Capital
Dalcott Capital is a private asset-backed lending firm providing financing solutions to businesses and real estate investors across Canada and the United States. We are not a bank and do not accept deposits.
3. Eligibility
You must be at least 18 years of age and legally capable of entering into binding agreements in your jurisdiction to use our Services. By creating an account or submitting an application, you represent that you meet these requirements.
4. Account Registration
- You are responsible for maintaining the confidentiality of your account credentials.
- You agree to provide accurate, current, and complete information during registration and in any applications you submit.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately at info@dalcottcapital.com if you suspect unauthorized access to your account.
5. Loan Applications
- Submitting a loan application does not guarantee approval or funding.
- All applications are subject to our review and due diligence process.
- You represent that all information and documents provided in your application are truthful, accurate, and complete.
- Providing false or misleading information may result in denial of your application and termination of your account.
- Loan terms, rates, and conditions will be outlined in a separate loan agreement if your application is approved.
6. Document Uploads
- You may upload documents through our portal to support your loan applications.
- You represent that you have the right to share any documents you upload.
- Accepted file formats are PDF, JPG, PNG, DOC, DOCX, XLS, and XLSX, with a maximum file size of 10 MB per document.
- We reserve the right to reject or remove uploaded files that are incomplete, illegible, or unrelated to your application.
7. Intellectual Property
All content on the Site—including text, graphics, logos, icons, images, and software—is the property of Dalcott Capital or its licensors and is protected by Canadian and international copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without our prior written consent.
8. Prohibited Conduct
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
- Submit false, fraudulent, or misleading information.
- Attempt to gain unauthorized access to any portion of the Services or related systems.
- Use automated tools, bots, or scrapers to access or interact with the Site.
- Interfere with or disrupt the integrity or performance of the Services.
- Upload files containing viruses, malware, or other harmful code.
9. Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Dalcott Capital and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, whether based on warranty, contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.
11. Indemnification
You agree to indemnify and hold harmless Dalcott Capital and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
12. Termination
We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination will do so.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.
14. Changes to These Terms
We may revise these Terms at any time by updating this page. The “Last updated” date at the top indicates when the most recent changes were made. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy and any applicable loan agreements, constitute the entire agreement between you and Dalcott Capital with respect to the Services.
